As a direct agent to the mandate, Israel Mega Funding Corp. has been appointed sole legal authorized representative for many sellers and purchasers of Crude Palm Oil effective January 1, 2005 to January 1, 2030. We confirm that the seller is ready, willing and able to supply the following Crude Palm Oil commodity under the terms and conditions listed below and prices to be agreed upon between the Buyer and the Seller.

PALM OIL PLANTATION:

Oil Palm Plantations are everywhere in Malaysia. Not surprisingly, Malaysia accounts for 51% of world palm oil production and 62% of world exports.

PALM OIL is a form of edible vegetable oil obtained from the fruit of the oil palm tree.  The palm fruit is the source of both palm oil (extracted from palm fruit) and palm kernel oil (extracted from the fruit seeds).

Palm oil, like other vegetables oil, can be used to create biodiesel for internal combustion engines.  Biodiesel has been promoted as a form of biomass than can be used as a renewable energy source to reduce net emissions of carbon dioxide into the atmosphere.  Therefore, biodiesel is seen as a way to decrease the impact of the greenhouse effect and as a way of diversifying energy supplies to assist national energy security plans.  Scientists have found that biodiesel made from palm oil grown on sustainable non-forest land and from established plantations can effectively reduce greenhouse gas emissions.

Palm Oil and Malaysia

In 2004, Malaysia produced 14 million tons of palm oil from more than 38,000 square kilometers of land, making it the largest exporter of palm oil in the world.  The Malaysian Sime Darby conglomerate is its largest plantation operator, with 524,626 hectares of oil palms, mainly across Peninsular Malaysia, Sarawak and Sabah in Malaysia.  It also operates plantations in Sumatera, Kalimantan and Sulawesi in Indonesia, as well as production plants and refineries.

 In Malaysia there are about 6,000,000 hectares of palm oil plantations corresponding to 5% of the Malaysian surface and to 16% of Malaysian farming land (most of the rubber plantations have been replaced by palm oil plantations).  This means that the entire palm oil sector, from the plantation to the moment of final distribution, occupies about 1,000,000 Malaysians, generating approximately 7.5% of the country’s exportations and accounting for about 50% of the world palm oil and kernel palm oil production (49% of this production is exported abroad while only 1% is used in Malaysia).

These impressive data are sustained by an excellent control-management-development system co-ordinated by the Malaysian Palm Oil Board – MPOB – which is entrusted to serve the country’s palm oil industry through the promotion and development of the national objectives, policies and priorities for the well-being of the Malaysian palm oil industry.

PROCEDURE FOR SALE

1. The Buyer issues LOI + BCL to Israel Mega Funding Corp.

2. Seller’s Mandate is to send FCO

3. Buyer signs FCO and issues ICPO

4. Seller sends the draft contract (according to this procedure)

5. Buyer and Seller after both have signed the contract, send it by electronic mail

6. Together with the signed contract, Buyer’s bank issues by Swift MT760 BG plus RDLC

7. The Seller shall issue 2% PB

8. The Buyer Bank shall send hard copy by Couriers

9. Delivery started within 45 days.

TERMS OF PAYMENT:

Irrevocable, Assignable & Revolving Standby Letter of Credit (SBLC) VALUE FOR (1) MONTH

or

Irrevocable & Assignable Bank Guarantee plus Revolving Documentary Letter of Credit for one month value.

PERFORMANCE BOND:

The Seller will issue a 2% Performance Bond for the amount of one month bank instrument, in accordance to the T.T. Performance Bond will be made operative based on INCOTERM ICC 500 after the Seller Bank receives and confirmed bank instrument.

LAY CAN:

For the first delivery within forty five (45) days after receiving and confirmation of SBLC/BG.
